Fujifilm Begins Assessment of Partial Spin-Off of Business Innovation Unit

FUJIFILM Holdings Corporation has begun assessing a potential partial spin-off of its Business Innovation business, including the possible listing of shares in its wholly owned subsidiary, FUJIFILM Business Innovation Corporation.

The company said the transaction is being considered as one of several strategic options to support the Business Innovation business’s sustainable growth and strengthen the Fujifilm Group’s corporate value. The assessment is part of the company’s broader strategy under its medium-term management plan, VISION2030, which emphasizes profitability, capital efficiency and growth tailored to individual business segments.

Business Innovation is one of Fujifilm’s major growth businesses, contributing approximately 35% of consolidated revenue. The unit provides products, solutions and services designed to improve workplace productivity and support digital transformation, including through the use of artificial intelligence.

Fujifilm said the business is transitioning toward a more solutions-focused model and entering a new phase of growth. The company believes a more agile operating structure could help Business Innovation implement strategic initiatives and expand the business more effectively.

If the spin-off proceeds, Fujifilm is considering retaining a minority stake of less than 20% in FUJIFILM Business Innovation Corporation. This would allow the business to continue using the Fujifilm brand and maintain potential synergies with other Fujifilm Group companies.

The company expects to continue evaluating the proposal with a view to potentially executing the spin-off within the next two to three years. The assessment will include determining an appropriate stock exchange for the subsidiary’s listing and evaluating whether the transaction could qualify for tax-free treatment.

Any spin-off would remain subject to approvals, certifications or permissions from relevant stock exchanges and authorities, as well as approval from shareholders and other stakeholders.
